Definitions

The Client: The company or individual requesting the services of ArayoWeb.

ArayoWeb: The web design agency including the owner and any employees, contracted to work on behalf of the client.

General

ArayoWeb will carry out work only where an agreement is provided either by email, telephone, mail or fax.

ArayoWeb will carry out work only for clients who are 18 years of age or above. An ‘order’ is deemed to be a written or verbal contract between ArayoWeb and the Client, this includes telephone and email agreements.

Payments and Charges

Charges for services to be provided by ArayoWeb are defined in the project quotation that the Client receives via e-mail. Quotations are valid for a period of 30 days. ArayoWeb reserves the right to alter or decline to provide a quotation after expiry of the 30 days.

For projects quoted as requiring hourly payment, the rates are as follows:

30€ per hour – graphic design, online marketing and basic HTML/CSS design and amends
50€ per hour – projects that involve advanced programming such as PHP/Javascript/JQuery/ASP.net

All prices quoted are exclusive of taxes, which will be applied at time of invoicing.

A deposit of 50% is required with any project before any design work will be carried out.

Any Search Engine Optimisation (SEO) work will require full payment up front before any work is commenced, and in the case of on-going campaigns, payment will be required monthly in advance.  If payment is not received for a given month, ArayoWeb reserves the right to pause all campaign works until payment is received. If the client decides to terminate their SEO campaign at any given moment, 30 days notice must be given.

Client agrees to reimburse ArayoWeb for any additional expenses necessary for the completion of the work. Examples would be purchase of special fonts, stock photography etc.

The Client agrees to make available as soon as is reasonably possible to ArayoWeb all materials necessary to complete the site to the agreed standard and within the set deadline.

If after 30 days of the projected completion date, ArayoWeb has not been able to complete the website due to delays by the Client in providing required materials or revising work done, ArayoWeb will invoice 25% of the remaining balance of the project, which will leave the final 25% due upon final project completion.

Once a website has been designed and completed the final balance of payment is then due in accordance with our payment terms. There are no exceptions to this, i.e. if the Client decides they no longer want the site, they are still obliged to pay for the work that has been done.

ArayoWeb will only send the website live once all payments and accounts have been settled.

Non-payment will result in legal action being taken if necessary.

Revisions and Amends

Three rounds of amends will be included in the website price quoted, which should not exceed more than 8 hours.  Each additional hours spent on website amends will be charged by ArayoWeb at the standard hourly rate*. Multiple emails containing amend requests will not be accepted. Each round of amends must be sent in a single document, to ensure that they are completed as efficiently as possible.

Website amends refer to small changes or minor tweaks in the website content and/or design or layout.  Any additional features that were not specified by the Client at the proposal stage, which require advanced programming will solicit a separate quotation and a revised project delivery date.

Once the initial template design and concept provided by ArayoWeb has been approved and signed off by the Client, any major changes to the template design and layout may incur additional charges.

The project will not be deemed as complete until the Client is completely satisfied with the work that has been carried out by ArayoWeb, in accordance with the functions and features confirmed by the Client at the proposal stage.

Project Delivery

ArayoWeb promises the Client that it will work exhaustively to ensure that the project is delivered to the proposed project delivery date, however, any indication given by ArayoWeb of a design project’s duration is to be considered by the Client as an estimate.

ArayoWeb cannot be held responsible for any project over-runs, due to unforeseen technical issues that may be produced from the use of third party templates and scripts.

Permissions and Copyright

Copyright of the completed web designs, images, pages, code and source files created by the Developer for the project shall be with the Client upon final payment of accounts has been received.

These terms of use grant a non-exclusive limited license so that the Client can use the design on one website on one domain name only. The Client is not permitted to use a design for more than one website without prior written agreement between the Client and the Developer.

ArayoWeb cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless the Client provides written permission that such material can be used.

All files of the website, unless otherwise specified, will be completely accessible and all source code will be open, without restrictions, for modification by any other company or Webmaster that the client may choose in the future.

The Client agrees that the Developer reserves the right to include any work done for the Client in a portfolio of work.

Hosting

ArayoWeb can provide web hosting for all websites created on behalf of the client.  The client is entitled to select and use their own third party host provider for the hosting of their website, in which case:

• The domain and host account should be correctly configured before ArayoWeb begins work
• All details such as the hosting control panel, FTP Access and MySQL database Access must be provided to the client
• The hosting package selected by the Client must be fully compatible with the website specifications, such as for a particular CMS (Content Management System) installation, which will be provided by ArayoWeb
• Any additional work carried out by ArayoWeb that involves liaising with the third party host provider due to any of the above circumstances, may be charged for at the standard hourly rate*.

*Standard hourly rate is 30€ – applies to small design changes and amends, not advanced programming work to create additional website functions and features.
